This course is designed to give an overview of the policies most commonly written to address the management liability exposures of a company. We begin with a discussion of concepts that are common to many claims made policies including the retroactive date, extended reporting period, and prior and pending litigation date. We will also discuss coverage features such as defense provisions, consent to settle clauses, and treatment of punitive damages. We will then review three types of management liability coverage:  Directors' and Officers' Liability, Employment Practices Liability, and Fiduciary Liability. In each case, we will discuss the coverage  provided, who is covered, and common exclusions. As part of the Fiduciary Liability discussion, we will address the difference between Employee Benefits Liability and Fiduciary Liability.
